1. Acceptance of these terms
These Terms of Use ("Terms") govern your access to and use of zeroresidue.io and the tools, content, and materials made available on it (together, the "Site").
The Site is operated by 2780017 Alberta Inc., operating as SubstanceWorks AI ("SubstanceWorks", "we", "us", "our"), a corporation incorporated under the laws of Alberta, Canada.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
2. What the Site provides
The Site provides free reference tools for chemical regulatory compliance professionals. These tools perform lookups, calculations, and comparisons against publicly available regulatory data sources, including but not limited to the United States Code of Federal Regulations (eCFR), EUR-Lex, the NIOSH Pocket Guide to Chemical Hazards, publications of the European Chemicals Agency (ECHA), the United States Environmental Protection Agency (EPA), Health Canada, Environment and Climate Change Canada, and the United Nations Globally Harmonized System of Classification and Labelling of Chemicals (GHS).
The tools are reference aids. They are not a compliance management system, a regulatory filing service, or a substitute for professional judgment.
No account or registration is required to use the Site.
3. No professional advice
Reference only. Not legal or regulatory advice. Verify against the primary source before you act.
The Site does not provide legal, regulatory, engineering, medical, occupational health, or professional safety advice. Nothing on the Site creates a solicitor-client, consultant-client, or other professional relationship between you and SubstanceWorks.
Regulatory requirements differ by jurisdiction, change over time, and depend on facts specific to your substances, processes, quantities, and operations. You are solely responsible for determining which requirements apply to you and for verifying any output of the Site against the applicable primary source before relying on it.
4. Accuracy and no warranty
We compile the Site's underlying data from public regulatory sources and take reasonable care in doing so. We do not, however, warrant that the Site or its content is accurate, complete, current, or fit for any particular purpose.
Regulatory data may be superseded, amended, or withdrawn at any time. There may be a delay between a change to a primary source and a corresponding change to the Site. The absence of a substance, hazard, threshold, or requirement from the Site does not mean it does not exist or does not apply to you.
To the fullest extent permitted by applicable law, the Site is provided "as is" and "as available", without warranty or condition of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
Some jurisdictions do not allow the exclusion of certain warranties or conditions. In those jurisdictions, the above exclusions apply only to the extent permitted by law, and you may have additional rights.
5. Limitation of liability
To the fullest extent permitted by applicable law:
(a) SubstanceWorks, its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or in connection with your use of or inability to use the Site, however caused and under any theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise, and whether or not we have been advised of the possibility of such damages.
(b) Without limiting paragraph (a), SubstanceWorks will not be liable for any regulatory non-compliance, enforcement action, penalty, fine, product recall, business interruption, personal injury, property damage, or environmental harm arising from reliance on the Site.
(c) Our total aggregate liability to you for all claims arising out of or relating to the Site, regardless of the form of action, will not exceed one hundred Canadian dollars (CAD $100).
The Site is provided to you free of charge. The allocation of risk in this section reflects that fact and is a fundamental basis of the bargain between us.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where such limitation is prohibited.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
6. Acceptable use
You may use the Site for lawful purposes in the course of your professional or business activities.
You must not:
(a) use the Site in a way that violates any applicable law or regulation;
(b) use automated means, including scrapers, crawlers, or bots, to access, extract, or copy the Site's content or underlying data at a volume or frequency that imposes an unreasonable load on our infrastructure, except that we permit well-behaved search engine and AI crawlers that respect our robots.txt file;
(c) attempt to gain unauthorized access to the Site, its systems, or its networks;
(d) interfere with or disrupt the integrity or performance of the Site;
(e) reproduce, redistribute, or resell the Site's compiled content or data as a competing product or service;
(f) remove, obscure, or alter any notice, disclaimer, or attribution displayed on the Site; or
(g) misrepresent output of the Site as regulatory advice, certification, or approval.
7. Intellectual property
The underlying regulatory data referenced by the Site originates from public sources and is generally not subject to our copyright. Our selection, arrangement, compilation, presentation, interpretation, and enrichment of that data, together with the Site's software, design, text, graphics, and branding, are owned by SubstanceWorks or its licensors and are protected by Canadian and international intellectual property laws.
"Zero Residue", "SubstanceWorks AI", and associated logos are trademarks of SubstanceWorks. You may not use them without our prior written consent.
You may reference and cite outputs of the Site in your internal work product. You may not present the Site's compiled content as your own or use it to build a competing reference service.
8. Third-party sources and links
The Site references and may link to third-party regulatory sources and websites. We do not control those sources and are not responsible for their content, accuracy, availability, or practices. A link or reference does not imply endorsement.
9. Availability and changes to the Site
We may modify, suspend, or discontinue the Site or any tool on it at any time, with or without notice. We do not guarantee uninterrupted availability. We are not liable for any unavailability.
10. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top indicates when they were last revised. Material changes will be reflected by an updated date and, where we consider it appropriate, a notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
11. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in that province, without regard to conflict of laws principles.
You agree that the courts of the Province of Alberta will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to the jurisdiction of those courts.
If you access the Site from outside Canada, you do so on your own initiative and are responsible for compliance with local law. Nothing in this section deprives a consumer of the protection of mandatory provisions of the law of their country of habitual residence where applicable law so requires.
12. Severability and entire agreement
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed, and the remaining provisions will remain in full force.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SubstanceWorks regarding the Site.
Our failure to enforce any provision is not a waiver of that provision.
